Juggler Corporate Contributor License Agreement

Version 1.0 — effective 17 July 2026

This Corporate Contributor License Agreement (the “Agreement”) is between the legal entity identified in the signature block (“you” or “your”) and Julian Storer (“Juggler,” “we,” “us,” or “our”). It records the rights you grant for contributions to the Juggler project. You retain ownership of your contributions.

This Agreement must be executed privately by an authorized signatory. Do not put a completed signature block or contributor roster in a public pull request. Contact julianstorer@gmail.com to arrange execution and roster updates. Each individual contributor must also execute Juggler’s Individual Contributor License Agreement (CLA.md); this Agreement covers rights owned or controlled by the entity, while the ICLA covers rights held by the individual.

1. Definitions

“Authorized Contributors” means the individuals identified in a roster that you provide and update through the private process designated by us. A roster update is effective when acknowledged in writing by us. Removal prevents the individual from submitting future Contributions on your behalf but does not affect rights already granted.

“Contribution” means an original work of authorship, or a modification or addition to an existing work, that you intentionally submit through an Authorized Contributor and through a Juggler source-code repository, pull request, or other contribution channel we identify in writing, for inclusion in or improvement of the Project.

General feedback, abstract ideas, support requests, private communications, and security reports are not Contributions unless the copyrightable material in them is clearly designated as a Contribution. Material conspicuously marked “Not a Contribution” is not a Contribution.

“Project” means the open-source Juggler materials maintained at https://github.com/juggler-ai/juggler and any successor repository we identify in writing.

“Applicable Open-Source License” means the open-source license covering the part of the Project to which a Contribution is submitted on the date of that submission. At this Agreement’s effective date, that is AGPL-3.0-or-later for the application and Apache-2.0 for web/sdk/** and web/extensions/**, as explained in LICENSING.md.

2. Copyright

You retain ownership of each Contribution and reserve all rights not expressly granted by this Agreement.

You grant us and recipients of software distributed by us a perpetual, worldwide, non-exclusive, royalty-free, irrevocable copyright license to reproduce, prepare derivative works of, publicly display, publicly perform, sublicense, and distribute each Contribution and derivative works of it.

This license includes our right to license and distribute a Contribution and derivative works:

  1. under the Applicable Open-Source License;
  2. under another open-source license; and
  3. under proprietary or other closed-source terms, including as part of a commercial edition of Juggler, with or without source code.

We may relicense and sublicense a Contribution under those terms and are not obliged to include it in the Project or any product.

Open-source availability commitment. If we include a Contribution in the Project, we will also make that Contribution available under the Applicable Open-Source License. Commercial or proprietary licensing by us or a successor does not revoke or replace that open-source availability.

This is a license, not an assignment of your copyright.

3. Patents

You grant us and recipients of software distributed by us a perpetual, worldwide, non-exclusive, royalty-free patent license to make, have made, use, offer to sell, sell, import, and otherwise transfer each Contribution. This license applies only to patent claims that you can license and that are necessarily infringed by a Contribution alone or by its combination with the Project to which it was submitted.

If a recipient of a patent license under this Agreement institutes patent litigation against you or any other entity, including a cross-claim or counterclaim, alleging that a Contribution or the Project to which it was submitted directly or contributorily infringes a patent, the patent licenses granted under this Agreement to that recipient for that Contribution terminate on the date the litigation is filed.

4. Moral rights

To the extent you can legally do so, you will obtain from each author the waivers or non-assertion agreements reasonably necessary for us, our licensees, and our successors to exercise the rights granted by this Agreement. Nothing in this section limits attribution required by an Applicable Open-Source License.

5. Your representations

You represent that:

  1. you have the legal authority to enter into this Agreement and grant its rights;
  2. each Authorized Contributor is authorized to submit Contributions on your behalf;
  3. each Contribution is an original creation of an Authorized Contributor, or you otherwise have the right to submit it and grant these rights;
  4. the signatory and each person who authorizes a roster update has authority to bind you for that purpose; and
  5. you will keep the roster accurate and promptly notify us at julianstorer@gmail.com if you learn of facts that make these representations materially inaccurate.

You are not required to support a Contribution. Except for the representations in this section, and to the maximum extent permitted by law, Contributions are provided “AS IS”, without express or implied warranties or conditions, including warranties of merchantability or fitness for a particular purpose.

6. Third-party material

Do not submit material created by a third party as your Contribution. If you want us to consider third-party material, identify it separately and provide its source and all licenses or restrictions, including relevant patent or trademark information, of which you are aware. Mark it conspicuously as “Submitted on behalf of a third party: [name].” Acceptance is at our discretion and is not evidence that the material is legally suitable.

7. Developer Certificate of Origin

This Agreement does not replace the per-commit certification required by the Developer Certificate of Origin 1.1. Every commit must contain a matching Signed-off-by: line, as described in CONTRIBUTING.md.

8. Termination

You may terminate this Agreement for Contributions submitted after we receive written notice at julianstorer@gmail.com. Rights already granted for Contributions submitted before termination remain effective and irrevocable.

9. Assignment and successors

We may assign this Agreement and its rights and obligations only to a bona fide successor to the Project or in connection with a merger, acquisition, reorganization, or sale of all or substantially all assets or business relating to the Project. The successor must agree in writing to assume our obligations, including the open-source availability commitment in Section 2. We will publish notice of a change in the receiving party in the Project repository.

You may assign this Agreement in connection with a merger, reorganization, or sale of all or substantially all of your relevant business or assets if the successor assumes your obligations in writing and you notify us.

10. General

This Agreement is governed by the laws of England and Wales, without regard to conflict-of-laws rules. The courts of England and Wales have exclusive jurisdiction over disputes arising from it.

This Agreement is the entire agreement between you and us concerning Contributions and supersedes earlier corporate contributor agreements on that subject. An amendment is effective only in a writing signed by authorized representatives of both parties and identifying the amended version.

If a provision is unenforceable, it will be reformed only as much as necessary, and the remaining provisions continue in force. Failure to enforce a provision is not a waiver. Nothing in this Agreement grants rights in either party’s trademarks, trade names, or identity except as necessary to identify the Project, a Contribution, or its authorship.

Notices must be sent to julianstorer@gmail.com and to the entity contact in the signature block, unless either party designates a replacement in writing. Our handling of contributor-agreement records is described in CONTRIBUTOR-AGREEMENT-PRIVACY.md.

This Agreement may be executed electronically and in counterparts. Together, those counterparts form one agreement.

Private roster of Authorized Contributors

Provide the initial roster with the signed Agreement and send later updates to julianstorer@gmail.com. For each person, include full name, GitHub username, GitHub numeric account ID if known, email address, and effective date. We will acknowledge accepted updates in writing and retain prior versions as evidence. Do not submit this information in a public issue or pull request.
